These Terms of Service ("Terms") are a legally binding agreement between you ("User," "you," or "your") and ImpactMind.AI ("ImpactMind," "we," "us," or "our") governing your access to and use of the ImpactChat software-as-a-service platform ("ImpactChat" or the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, please do not use the Service.

IMPORTANT NOTICE: THESE TERMS CONTAIN AN ARBITRATION CLAUSE AND CLASS ACTION WAIVER. PLEASE READ THEM CAREFULLY AS THEY AFFECT YOUR LEGAL RIGHTS.

1. Description of the Service

ImpactChat is a platform that enables you to interact with various bots powered by third-party Artificial Intelligence ("AI") models, including Large Language Models ("LLMs") and plugins. The Service allows you to engage in conversations with these bots for purposes such as learning, content creation, programming assistance, translation, and more. You may also have the ability to create and deploy your own bots powered by AI models.

2. Eligibility

2.1 Age Requirements

  • Minimum Age: You must be at least 18 years old to use the Service.

  • Under Age of Majority: If you are under the age of majority where you reside, you may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

2.2 Authority

By accepting these Terms, you represent and warrant that you have the legal capacity to enter into this agreement. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account Registration and Security

3.1 Account Creation

You may be required to create an account to access certain features of the Service. When creating an account, you agree to:

  • Provide accurate, current, and complete information.

  • Maintain and promptly update your information as needed.

  • Keep your login credentials secure.

3.2 Responsibility for Account Activities

You are responsible for all activities that occur under your account. You agree to notify ImpactMind immediately of any unauthorized use of your account or any other security breach.

4. Use of the Service

4.1 License Grant

Subject to your compliance with these Terms, ImpactMind grants you a personal, non-exclusive, non-transferable, revocable license to access and use the Service for your lawful, personal, or internal business purposes.

4.2 User Acknowledgments

You understand and agree that:

  • Not for Emergency Use: The Service should not be used for emergency purposes or to obtain critical information.

  • Information Accuracy: Bots may generate content that is inaccurate, outdated, or otherwise unreliable. You should independently verify any information before relying on it.

  • Service Changes: The Service and bots are subject to change, and may contain errors or interruptions.

4.3 Prohibited Conduct

You agree not to:

  • Violate any applicable laws or regulations.

  • Infringe upon the rights of others, including intellectual property rights.

  • Use the Service for any unlawful, harmful, or unethical purposes.

  • Introduce viruses, worms, or other malicious code.

  • Attempt to gain unauthorized access to any part of the Service or its systems.

  • Use automated systems or software to extract data from the Service ("scraping").

  • Reverse engineer, decompile, or disassemble any aspect of the Service.

5. User Content and Bots

5.1 User Content

"User Content" includes any information, text, graphics, photos, or other materials you upload, submit, or transmit through the Service, including interactions with bots.

5.2 Ownership and License

You retain ownership of your User Content. However, by submitting User Content, you grant ImpactMind a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service.

5.3 Your Bots

If you create bots using the Service ("Agents"), you are solely responsible for:

  • Ensuring Your Agents comply with these Terms and any applicable third-party policies.

  • Any content generated by Your Agents .

  • Maintaining and updating Your Agents as necessary.

ImpactMind reserves the right to remove or disable access to any of Your Agents that violate these Terms or applicable laws.

5.4 Content Guidelines

You agree that your User Content and Your Agents will not:

  • Contain unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable material.

  • Encourage conduct that would be considered a criminal offense or violate any law.

  • Impersonate any person or entity, or falsely state your affiliation with a person or entity.

6. Intellectual Property Rights

6.1 Ownership of Service Content

All rights, title, and interest in and to the Service, including all software, algorithms, text, images, and other content (excluding User Content), are owned by ImpactMind or its licensors and are protected by intellectual property laws.

6.2 Trademarks

"ImpactChat," "ImpactMind," and associated logos are trademarks of ImpactMind.AI. You are not granted any right or license to use these trademarks.

7. Third-Party Services and Content

7.1 Third-Party AI Models and Plugins

The Service may provide access to third-party AI models and plugins. Use of these third-party services may be subject to additional terms and policies. ImpactMind is not responsible for content or services provided by third-party providers.

7.2 Links to Third-Party Websites

The Service may contain links to third-party websites or resources. ImpactMind does not endorse and is not responsible for the availability or accuracy of such websites or resources.

8. Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and disclose your personal information. By using the Service, you consent to the collection and use of your information as outlined in the Privacy Policy.

9. Disclaimers and Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. IMPACTMIND DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMPACTMIND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM:

  • YOUR USE OR INABILITY TO USE THE SERVICE.

  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE.

  • ANY CONTENT OBTAINED FROM THE SERVICE.

  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

9.3 Maximum Liability

IN NO EVENT SHALL IMPACTMIND'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICE IN THE LAST TWELVE (12) MONTHS.

10. Indemnification

You agree to indemnify, defend, and hold harmless ImpactMind and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your use of the Service.

  • Your violation of these Terms.

  • Your User Content or Your Bots infringing any third-party rights.

11. Termination

11.1 By ImpactMind

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, effective immediately.

11.2 By You

You may terminate your account at any time by discontinuing use of the Service and deleting your account, if applicable.

11.3 Effect of Termination

Upon termination:

  • All rights and licenses granted to you will immediately cease.

  • Your User Content may be retained or deleted at our discretion.

11.4 Survival

Sections relating to Disclaimers and Limitation of Liability, Indemnification, Governing Law, and other provisions intended to survive termination shall survive any termination of these Terms.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Country/State], without regard to its conflict of law principles.

12.2 Arbitration Agreement

We may update these Terms from time to time. If we make material changes, we will notify you by updating the "Last Updated" date and posting the new Terms on the Service. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

14. Miscellaneous

14.1 Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and ImpactMind regarding the Service and supersede any prior agreements.

14.2 Severability

If any provision of these Terms is held invalid, the remainder shall continue in full force and effect.

14.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

14.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. ImpactMind may assign or transfer these Terms without restriction.

14.5 Notices

Any notices or other communications provided by ImpactMind under these Terms may be given by email or by posting to the Service.
